These Terms of Use (“Terms”) govern access to and use of the technology platform provided by Zeqo Systems Pvt Ltd (“Zeqo,” “we,” “us,” or “our”), including our website and mobile applications (together, the “Platform”). Please read these Terms carefully before using the Platform.

These Terms describe the Platform as a whole and are written independently of any specific feature, module, or tool. They should be read together with our Privacy Policy, which governs how we handle data and is incorporated into these Terms by reference.

1.Definitions

  • “Institute” means a school, coaching institute, tutorial centre, or similar educational entity that has entered into a separate agreement with Zeqo to use the Platform.
  • “User” means any individual accessing the Platform through an Institute, including a Student, teacher, administrator, or staff member.
  • “Student” means an individual enrolled at an Institute who is provisioned access to the Platform, including a minor.
  • “User Content” means any material a User submits, uploads, captures, types, or otherwise provides through the Platform in the course of using it for educational purposes.
  • “Generated Output” means any material the Platform produces in relation to a User, including material produced through automated or AI-assisted processing.

2.Acceptance of These Terms

The Platform is accessed and used under an agreement between Zeqo and an Institute. These Terms govern use of the Platform by every individual accessing it through that Institute.

Because a significant proportion of Users are minors, the Institute accepts these Terms on behalf of, and takes responsibility for authorising, its Students’ access, in coordination with parents or lawful guardians as applicable and consistent with the Institute’s own policies. No individual Student is required or expected to personally accept a binding contract in order to use the Platform; access is a benefit made available to them through their Institute’s agreement with Zeqo.

By accessing the Platform, an Institute, teacher, or administrator with authority to do so confirms acceptance of these Terms. If any part of these Terms is unacceptable, the Platform should not be accessed.

3.Eligibility and Account Access

  • Access to the Platform is mandated and administered through the Institute. No individual can create an account independently.
  • Accounts are provisioned by Zeqo on the basis of data supplied by the Institute, and a User can sign in only once their account has been provisioned.
  • Users authenticate through a supported third-party sign-in provider or through an email address and password credential issued on their behalf in our systems.
  • Users are responsible for keeping their login credentials confidential and must not share account access with any other person, including other Students.
  • Zeqo may, at the Institute’s request or on its own initiative in the case of a violation of these Terms, suspend or deactivate an account.

4.Changes to the Platform

The Platform is provided on an evolving basis. Zeqo may add, modify, replace, or discontinue features, modules, and functionality at any time, and may vary the manner in which the Platform delivers its educational functions. These Terms are written to apply to the Platform as a whole and continue to apply following any such change. Where a change materially reduces the functionality made available to an Institute during the term of its agreement, the position shall be governed by that agreement.

5.Acceptable Use

When using the Platform, you agree not to:

  • submit or share material that is unlawful, infringes the intellectual property or other rights of any person, or is inappropriate, offensive, or harmful;
  • attempt to bypass, disable, or interfere with any security feature of the Platform;
  • attempt to gain unauthorised access to another User’s account or data, or to any part of the Platform not intended for you;
  • use automated means, including scraping or bots, to access or extract data from the Platform;
  • reverse engineer, decompile, or attempt to derive the source code of the Platform, except to the extent applicable law expressly permits;
  • use the Platform, or any material obtained from it, to build, train, or assist in building a competing product or service;
  • use the Platform for any purpose other than its intended educational function; or
  • misrepresent your identity or your affiliation with an Institute.

Zeqo reserves the right to investigate and to take appropriate action, including suspension of access, for a violation of this section.

6.Responsibilities of the Institute

The Institute is responsible for:

  • ensuring that the data it supplies for account provisioning is accurate and that it is entitled to share that data with Zeqo;
  • obtaining and maintaining all consents required under applicable law before sharing the personal data of a Student with Zeqo, including verifiable parental or guardian consent where the Student is a minor;
  • supervising the use of the Platform by its Students and staff, and informing Zeqo promptly when an individual ceases to be affiliated with it; and
  • exercising academic judgement over Generated Output in accordance with Section 8.

7.Intellectual Property

a. Zeqo’s Platform and materials

The Platform, including its software, design, underlying models and data assets, and all content and materials made available through it by Zeqo, together with all intellectual property rights in them, is owned by Zeqo or its licensors. Subject to these Terms and to the Institute’s agreement with Zeqo, Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended educational purpose. This licence does not extend to reproducing, redistributing, or commercially exploiting Zeqo’s proprietary material outside the Platform.

b. User Content

You retain ownership of your User Content. By submitting it, you grant Zeqo a limited, non-exclusive, royalty-free licence to store, process, and use that content solely to (i) provide the Platform’s functions to you and your Institute, including producing Generated Output, and (ii) operate, maintain, secure, and improve the Platform. This licence does not include the use of your User Content to train third-party AI or machine-learning models; our providers process User Content under enterprise-tier agreements that exclude such use. Zeqo will not use your User Content for any purpose beyond what is described here without your consent or that of your Institute.

c. Feedback

Any feedback, suggestions, or improvement ideas you provide to us may be used by Zeqo without restriction, obligation, or payment.

8.Automated and AI-Assisted Outputs

  • Use of automated processing. The Platform uses a combination of Zeqo’s own systems and third-party AI and machine-learning services to process User Content and produce Generated Output.
  • Outputs can be wrong. Generated Output produced by automated systems and may contain errors, omissions, or inaccuracies, sometimes described as “hallucinations.” This is an inherent limitation of current AI technology.
  • Outputs are an aid, not a final authority. Generated Output is intended to support, and not to replace, the professional judgement of teachers and the Institute. Any Generated Output should be reviewed by a qualified teacher before being treated as final, particularly where it may affect a Student’s academic record. Zeqo does not guarantee the accuracy, completeness, or reliability of any Generated Output, and Users should independently verify important academic material rather than relying on it as a definitive source.

9.No Payments Through the Platform

Individual Users do not make payments through the Platform. Any commercial arrangement, including subscription or licence fees, is agreed directly between Zeqo and the Institute under a separate agreement and is not processed through the application.

10.Suspension and Termination

  • Zeqo may suspend or terminate a User’s access for a violation of these Terms, at the request of the relevant Institute, or upon the expiry or termination of the Institute’s agreement with Zeqo.
  • An Institute may request the deactivation of a specific account, including where the individual is no longer affiliated with it.
  • On termination of access, data associated with the account is handled in accordance with the retention terms set out in our Privacy Policy.

11.Disclaimers

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law. Zeqo does not warrant that the Platform will be uninterrupted, error-free, or available at all times. Educational material and Generated Output should be verified with a qualified teacher or other trusted educational resource and are not a substitute for the Institute’s own academic judgement.

12.Limitation of Liability

To the maximum extent permitted by applicable law, Zeqo shall not be liable for any indirect, incidental, special, or consequential loss or damage arising out of or relating to the use of, or inability to use, the Platform, including any reliance on Generated Output. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable Indian law.

13.Relationship With Our Privacy Policy

Our collection, use, and handling of personal data through the Platform is governed by our Privacy Policy, available at https://zeqo.in/privacy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy on a data-handling matter, the Privacy Policy governs.

14.Changes to These Terms

We may update these Terms from time to time to reflect changes in the Platform, our practices, or applicable law. Updates will be posted with a revised “Last Updated” date, and material changes will also be communicated to Institutes. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms by the accessing Institute.

15.Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Dehradun, Uttarakhand, India.
